These Elastic Models Pay-As-You-Go Product Terms (“Elastic Models Terms”) govern Customer’s access to and use of the Elastic Models product on the TheStage platform (the “Platform”). They are incorporated into and form part of the Platform Terms of Service or other master agreement between Customer and TheStage (the “Master Terms”). If there is a conflict, these Elastic Models Terms control only for Elastic Models.

By accessing or using Elastic Models, Customer agrees to these Elastic Models Terms.

1. Definitions

Capitalized terms not defined here have the meaning given in the Master Terms.

  • “AUP” means The Stage AI, Inc. AI Acceptable Use Policy.

  • “Elastic Model” means a machine learning model made available by TheStage through the Platform for on-demand use.

  • “Model Runtime” means the managed execution environment used to run an Elastic Model, including any model server, container, and supporting software.

  • “Container” means a Docker (or OCI-compatible) container instance created and managed through the Platform (including via the TheStage CLI), based on Platform-approved container images, used to execute tasks and workloads on a server instance. Containers may be standalone or associated with a Project.

  • “Project” means a logical workspace within the Platform used to organize Customer resources and activity (including instances, Containers, repositories, configurations, task history, and logs) related to Customer workloads.

  • “Usage” means measured consumption of Elastic Models (for example, runtime minutes, compute time, tokens, requests, or other units shown in the Platform).

  • “Customer Content” means data, prompts, inputs, code, files, and other materials submitted by Customer or Users to Elastic Models.

  • “Output” means results generated by an Elastic Model from Customer Content.

  • “Wallet” means Customer’s prepaid platform balance funded via Stripe or other supported payment methods, from which charges are deducted.

  • “Usage Fees” means pay-as-you-go fees for Elastic Models based on Usage.

  • “Third-Party Model Terms” means any license, acceptable use policy, attribution requirement, or other terms that apply to a Third-Party Model.

  • “Third-Party Model” means an Elastic Model or any model component that is licensed from or subject to terms of a third party.

2. Product Description

Elastic Models provide a library of models that Customer may access on-demand through the Platform UI, API, or other interfaces. Elastic Models are provided as a managed service: Customer receives the ability to run models and obtain Outputs, but does not receive model weights or source code unless expressly stated in the Platform for a specific model.

Where available, Elastic Models may be offered in multiple performance tiers or modes (for example, S, M, L, and XL) that represent different latency, cost, memory, and quality trade-offs for a given model.

Elastic Models may include features such as:

  • model discovery and documentation;

  • selection of model tiers/modes (e.g., S, M, L, XL) where available;

  • on-demand execution with metering and time-based billing;

  • task execution in Projects and/or Containers (where enabled);

  • usage limits, quotas, or concurrency controls.

Each model listing may indicate the model’s provider, license/terms, permitted use, and any additional restrictions. Customer is responsible for reviewing and complying with those model-specific terms.

3. License and Access Rights

3.1 License Grant. Subject to these Elastic Models Terms, the Master Terms, compliance with the AUP, and payment of applicable fees, TheStage grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use Elastic Models during the Term solely as permitted in the Platform for the applicable Elastic Model (including any model-specific usage restrictions).

3.2 Permitted Use. Subject to the Master Terms, these Elastic Models Terms, the AUP, and applicable Third-Party Model Terms, Customer may use Elastic Models to:

  • submit Customer Content and run inference to generate Outputs;

  • select available tiers/modes (including, where offered, S/M/L/XL) and configure runtime parameters;

  • use Elastic Models within Projects and/or Containers (where supported) to execute tasks and workflows;

  • evaluate and test Elastic Models internally, including internal benchmarking;

  • incorporate Outputs into Customer applications, products, or services, solely to the extent permitted for the applicable model and in compliance with Third-Party Model Terms and law;

  • use documentation, SDKs, APIs, and other interfaces provided by TheStage to integrate Elastic Models into Customer workflows.

3.3 Prohibited Use. Customer will not (and will not allow any third party to):

  • use Elastic Models or Outputs in any manner that violates the AUP, applicable law, or third-party rights;

  • resell, rent, lease, sublicense, white-label, or provide Elastic Models to third parties as a standalone service, time-sharing arrangement, or service bureau;

  • circumvent billing, metering, rate limits, quotas, or other usage controls (including by creating multiple accounts to avoid limits);

  • remove, obscure, or alter any required attribution, proprietary notices, usage restrictions, safety features, or technical protections;

  • use Elastic Models to generate or facilitate malware, exploit code, or other harmful content, or to impersonate others in violation of law or the AUP;

  • access or attempt to access model weights, parameters, or underlying source code (except to the extent explicitly provided for a particular model);

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of any Elastic Model or Model Runtime;

  • bypass, remove, or circumvent technical limitations, usage controls, or security measures;

  • use Elastic Models to build, train, or improve a competing model-as-a-service or to replicate model functionality, except as permitted by applicable law that cannot be excluded;

  • benchmark, publish, or disclose performance results of Elastic Models without TheStage’s prior written permission (unless prohibited by law).

3.4 Model-Specific and Third-Party Terms. Additional model-specific terms may apply to a particular Elastic Model (including Third-Party Model Terms and permitted use limitations). TheStage may make such terms available in the Platform (including via model listings, documentation links, and/or third-party URLs). Customer’s rights to use a specific Elastic Model are conditioned on compliance with those model-specific terms.

4. Customer Content and Outputs

4.1 Ownership. As between the parties, Customer retains all rights in Customer Content. Subject to Section 4.3, Customer owns its Outputs.

4.2 License to Operate. Customer grants TheStage and its subprocessors a limited license to host, copy, transmit, process, and display Customer Content solely as necessary to provide, maintain, and secure Elastic Models and related Platform features, and to comply with law.

4.3 Similarity and Non-Exclusivity. Outputs may not be unique, and other customers may receive similar outputs. TheStage does not guarantee that Outputs will be free of third-party rights.

5. Pay-As-You-Go Metering and Billing

5.1 Metering. Usage is measured using the metering methods shown in the Platform (for example, per minute of runtime, per request, per token, or other units). TheStage may round Usage to the nearest billing increment (for example, per-second, per-minute, or per-1000 tokens) as disclosed in the Platform.

5.2 Wallet Charges. Customer authorizes TheStage to deduct Usage Fees from Customer’s Wallet balance as Usage accrues. If the Wallet balance is insufficient, TheStage may (a) pause or stop Elastic Model execution, (b) prevent new executions, and/or (c) attempt to charge an additional top-up payment method, if enabled.

5.3 Rates. Rates for each Elastic Model (and any minimum fees) will be displayed in the Platform or in a written order form. TheStage may change rates prospectively by updating the Platform pricing page or providing notice as required under the Master Terms.

5.4 No Refunds for Consumed Usage. Usage Fees are non-refundable once Usage is incurred, except where required by law or expressly stated in the Platform.

5.5 Taxes. Fees are exclusive of taxes. Customer is responsible for applicable taxes, except taxes on TheStage’s net income.

6. Operational Controls, Limits, and Abuse Prevention

Elastic Models may include usage limits (for example, maximum concurrent runs, rate limits, maximum runtime, or quota ceilings). TheStage may enforce such limits to protect Platform integrity and to prevent abuse.

TheStage may suspend or restrict Elastic Models access if it reasonably believes:

  • Customer’s use violates the AUP, law, or third-party rights;

  • Customer’s use threatens Platform security, stability, or availability;

  • Customer’s Wallet is insufficient to cover ongoing Usage Fees;

  • continued operation may create material risk of harm to TheStage or others.

7. Third-Party Models and Dependencies

Elastic Models may include Third-Party Models and other third-party software or components (including open source components).

Certain Elastic Models may require Customer to maintain its own third-party accounts and credentials (for example, a Hugging Face access token) to download, access, or use original model weights, configurations, or other components subject to Third-Party Model Terms. Customer is responsible for obtaining and maintaining such credentials and for complying with the applicable Third-Party Model Terms. TheStage does not grant Customer any rights to third-party model weights or materials beyond what those Third-Party Model Terms permit.

7.1 Third-Party Model Terms. Use of a Third-Party Model may be subject to additional terms (for example, license agreements, acceptable use policies, attribution requirements, and use restrictions) that are presented in the Platform, in applicable documentation, and/or by reference to third-party URLs (“Third-Party Model Terms”). Any summaries, annotations, or pointers provided by TheStage are for convenience only and do not replace the full Third-Party Model Terms.

7.2 Incorporation and Priority. Third-Party Model Terms are incorporated into these Elastic Models Terms. If there is a conflict between these Elastic Models Terms and the Third-Party Model Terms for a specific Third-Party Model, the Third-Party Model Terms will control for that model.

7.3 Customer Responsibilities. Customer is solely responsible for (a) complying with all Third-Party Model Terms, (b) ensuring its intended use (including commercial use, production use, distribution, or fine-tuning) is permitted, and (c) obtaining any required separate licenses or permissions from the third-party licensor. Customer will not use a Third-Party Model in a manner that would cause TheStage or the licensor to be in breach of the applicable Third-Party Model Terms.

7.4 Hosted Access vs. Distribution. Unless the Platform expressly permits download or export of model weights, parameters, or other model artifacts for a specific Elastic Model, Customer receives hosted access only. If Customer distributes or makes available any Third-Party Model materials or derivative works (where permitted), Customer must satisfy all pass-through obligations under the applicable Third-Party Model Terms (for example, providing a copy of the license, retaining attribution notices, and displaying any required end-user notices).

7.5 Safety and Content Controls. Some Third-Party Model Terms require content filtering measures and/or human review to prevent unlawful or infringing content and may restrict or prohibit certain use cases (for example, military use, surveillance, biometric processing, non-consensual intimate imagery, or child sexual abuse material). Customer is responsible for using Elastic Models in compliance with those restrictions and applicable law, including any legally required AI-generated content disclosures.

7.6 Changes and Availability. Third-Party Models may be added, removed, or changed from time to time. TheStage may disable access to a Third-Party Model if it reasonably believes Customer is violating Third-Party Model Terms or if the applicable licensing conditions change.

8. Security, Logging, and Data Retention

TheStage may collect logs and telemetry related to Elastic Models usage (for example, timestamps, resource consumption, error logs, and performance metrics). Customer Content may be temporarily stored to process requests and may be retained for limited periods for security, fraud prevention, and compliance, as described in the Privacy Policy. TheStage is not obligated to store or return Customer Content or Outputs, and Customer is responsible for maintaining its own backups and records.

9. Disclaimers Specific to AI/ML Outputs

Elastic Models generate probabilistic outputs and may produce inaccurate, incomplete, or misleading information. Customer is responsible for evaluating Outputs for accuracy and suitability, and for ensuring compliance with applicable laws (including sector-specific regulations). Elastic Models are not intended for high-risk use cases where failure could lead to death, personal injury, or severe property or environmental damage, unless explicitly agreed in writing.

ELASTIC MODELS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THESTAGE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT ELASTIC MODELS WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

10. Termination; Effect

Upon termination of the Master Terms or suspension of Customer’s account, Customer’s right to use Elastic Models ends immediately. Accrued Usage Fees remain payable. Wallet balances are handled according to the Platform Billing and Wallet Terms.

11. Changes

TheStage may update these Elastic Models Terms from time to time. If changes are material, TheStage will provide notice as required under the Master Terms. Continued use of Elastic Models after the effective date of an update constitutes acceptance.

12. Indemnification

In addition to any indemnities in the Master Terms, Customer will defend, indemnify, and hold harmless TheStage, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content; (b) Customer’s use of Elastic Models or Outputs (including any Customer applications, products, or services); (c) Customer’s violation of these Elastic Models Terms, the AUP, applicable law, or Third-Party Model Terms; or (d) Customer’s distribution, publication, or commercialization of Outputs or any model artifacts where permitted.
